Terms of Service
These Terms of Service (the “Terms”) set forth the terms and conditions governing the use of the gacha-style e-commerce service “ULTIMA GACHA” (the “Service”) provided by Alchemist LLC (the “Company”). Any person who uses the Service (a “Member”) shall use the Service only after agreeing to these Terms.
Article 1 (Application)
1. These Terms shall apply to all matters relating to the use of the Service between Members and the Company.
2. Any rules, guidelines, or other provisions posted by the Company on the Service shall constitute an integral part of these Terms.
3. In the event of any inconsistency between these Terms and the rules, guidelines, or other provisions referred to in the preceding paragraph, these Terms shall prevail.
Article 2 (Definitions)
For the purposes of these Terms, the following terms shall have the meanings set forth below:
(1) “Service” means the gacha-style e-commerce platform “ULTIMA GACHA” operated by the Company and all services incidental thereto.
(2) “Tenant” means a business operator that operates and offers Gacha through the Service.
(3) “Gacha” means a promotion offered by a Tenant through the Service under which a Member may obtain a Prize through a random drawing in exchange for Coins.
(4) “Coin” means a point purchased or granted by a method prescribed by the Company and used as consideration for participating in Gacha or for other purposes designated by the Company within the Service.
(5) “Prize” means a physical product that a Member may obtain as a result of a Gacha drawing.
(6) “Exchange Ticket” means a right acquired by a Member as a result of a Gacha drawing that allows the Member to choose either to complete the procedure for receiving shipment of a Prize (the “Exchange Procedure”) or to convert such right into VIP Points.
(7) “VIP Points” means points designated by the Company that a Member may choose to receive in place of exercising an Exchange Ticket.
Article 3 (Membership Registration)
1. A person wishing to use the Service shall agree to these Terms and apply for membership registration in accordance with the method prescribed by the Company.
2. Persons under the age of 18 may not register as Members. If a person falsely declares their date of birth when applying for membership registration, the Company may cancel such Member’s registration or restrict their use of the Service.
3. The Company may refuse to approve an application for membership registration if it determines that any of the following applies:
(1) The applicant has submitted false information;
(2) The applicant has previously been subject to restrictions on use due to a violation of these Terms or otherwise; or
(3) The Company otherwise determines that approving the membership registration would be inappropriate.
4. If any registered information changes, the Member shall promptly update such information in accordance with the method prescribed by the Company.
Article 4 (Management of ID and Password)
1. Members shall, at their own responsibility, appropriately manage and safeguard their IDs and passwords for the Service and shall not permit any third party to use them, nor lend, transfer, change the registered name of, sell, or otherwise dispose of them.
2. Members shall be responsible for any damage arising from inadequate management of IDs or passwords, errors in use, unauthorized use by third parties, or otherwise, and the Company shall assume no liability therefor.
Article 5 (Purchase and Use of Coins)
1. Members may purchase Coins in exchange for monetary consideration by a method prescribed by the Company.
2. Coins may only be used for participating in Gacha or for other purposes designated by the Company within the Service and may not be refunded, redeemed for cash or other property value, transferred, or lent, unless otherwise separately specified by the Company.
3. Coins shall expire 180 days after the date of purchase. Any Coins that have passed their expiration date shall become invalid, and the Company shall not be liable for any damage incurred by a Member as a result thereof.
4. The Company shall issue and manage Coins in accordance with the Payment Services Act and all other applicable laws and regulations.
Article 6 (Prevention of Unauthorized Use)
1. In order to prevent stolen or otherwise unlawfully obtained credit cards or other payment methods from being used for payments through the Service, the Company may impose limits on Coin purchases, including a maximum purchase amount within a specified period. The details of such restrictions, including the applicable maximum amount, relevant period, and conditions for lifting such restrictions, shall be separately determined by the Company and may be modified from time to time based on usage of the Service and other relevant circumstances.
2. The restrictions described in the preceding paragraph may be lifted for Members who satisfy standards designated by the Company, including the number of Exchange Procedures completed, the Member’s history of converting Exchange Tickets into VIP Points, or other criteria. Such standards may also be separately determined and modified by the Company from time to time.
3. If a credit card company or other payment service provider initiates a chargeback, payment dispute, or similar claim, the Company may temporarily suspend the relevant Member’s use of the Service without waiting for the completion of any investigation into the relevant circumstances.
4. Any suspension imposed pursuant to the preceding paragraph shall be lifted only if the Company reasonably determines, based on the results of its investigation, that lifting the suspension is appropriate. The Company shall have no obligation to lift the suspension or to do so within any particular period at the request of the Member.
5. The Company shall not be liable for any damage incurred by a Member as a result of measures taken pursuant to this Article, except where such damage is caused by the Company’s willful misconduct or gross negligence.
Article 7 (Use of Gacha and Drawings)
1. Members may participate in Gacha in exchange for Coins.
2. The results of each Gacha drawing shall be determined randomly in accordance with the probabilities established by the Tenant for the relevant Gacha. Neither the Company nor any Tenant shall intentionally manipulate drawing results in favor of or against any particular Member.
3. The draw probabilities, pity or guaranteed reward mechanisms upon reaching a specified number of draws, and other drawing conditions shall be as displayed on the details page for each Gacha.
4. Coins consumed through a drawing shall not be returned for any reason whatsoever; provided, however, that this shall not apply if the drawing was not properly completed due to a system failure attributable to the Company or similar circumstances.
Article 8 (Receipt and Shipment of Prizes / Exchange Procedures)
1. As a result of a Gacha drawing, a Member shall acquire an Exchange Ticket. The Member shall select, in accordance with the method prescribed by the Company, either to complete the Exchange Procedure for such Exchange Ticket or to convert it into VIP Points.
2. A Prize for which an Exchange Procedure has been selected shall be shipped by the Tenant offering the relevant Gacha to the shipping address registered by the Member. The method of shipment, delivery, and responsibility for shipping costs shall be governed by the terms specified for the relevant Gacha or by the relevant Tenant.
3. Exchange Tickets may be subject to an expiration date separately prescribed by the Company. If neither an Exchange Procedure nor conversion into VIP Points is completed within the applicable expiration period, the Exchange Ticket shall be handled in accordance with the method prescribed by the Company.
4. As a general rule, Prizes shall be shipped by the Tenant, and the Tenant shall bear primary responsibility for shipping schedules, delivery status, the quality of Prizes, and other matters relating to the Prizes. The Company provides the system through which the Service operates and is not the seller of the Prizes themselves.
5. If a delivered Prize is damaged, soiled, defective, or otherwise deficient, the Member shall contact the relevant Tenant through the contact information stated on the details page of the applicable Gacha or through a contact channel designated by the Company.
Article 9 (Age-Restricted Products)
1. If a Gacha includes alcoholic beverages or other Prizes restricted to Members aged 20 or older, the relevant Gacha shall display an indication that it is “For Persons Aged 20 or Older.” Members whose age of 20 or older cannot be confirmed may not participate in such Gacha.
2. If a Gacha includes Prizes containing adult-oriented content or similar material, the relevant Gacha shall display an indication that it contains “Adult Products.” Members under the age of 18 may not participate in such Gacha.
3. The Company shall determine eligibility to participate based on the date of birth registered by the Member. If a Member circumvents the restrictions set forth in this Article by registering a false date of birth or by any other means, the Company may restrict the Member’s use of the Service or cancel the Member’s registration.
Article 10 (Relationship with Tenants and Role of the Company)
1. The Company provides a platform through which Tenants may offer Gacha. Each Tenant shall be responsible for the planning of its Gacha, selection of Prizes, pricing, and shipment.
2. Any contract relating to Prizes between a Member and a Tenant shall be formed directly between the Member and the Tenant at the time the Member participates in the relevant Gacha, and the Company shall not be a party to such contract.
3. Notwithstanding the preceding paragraph, the Company may respond to inquiries from Members, request corrective action from Tenants, or take other measures necessary for the smooth operation of the Service.
Article 11 (Prohibited Conduct)
Members shall not engage in any of the following activities in connection with their use of the Service:
(1) Any act that violates laws, regulations, or public order and morals;
(2) Any act related to criminal activity;
(3) Any act that infringes the intellectual property rights, portrait rights, privacy rights, or other rights of the Company, a Tenant, or any third party;
(4) Obtaining Coins by fraudulent or unauthorized means or attempting to influence the results of Gacha drawings;
(5) Unauthorized access to the systems of the Service or interference with the operation of the Service;
(6) Collecting information concerning other Members or Tenants;
(7) Fraudulently obtaining multiple IDs or using the Service by impersonating another person;
(8) Being a member of an Anti-Social Force or providing benefits to an Anti-Social Force; or
(9) Any other act that the Company determines to be inappropriate.
Article 12 (Intellectual Property Rights)
All copyrights, trademarks, and other intellectual property rights relating to the Service shall belong to the Company or to the relevant third-party rights holder, including Tenants. Members shall not use any such intellectual property without the prior written consent of the Company or the applicable rights holder.
Article 13 (Restrictions on Use and Cancellation of Registration)
The Company may, without prior notice, restrict a Member’s use of the Service or cancel the Member’s registration if any of the following applies:
(1) The Member violates any provision of these Terms;
(2) It is discovered that any registered information contains false information;
(3) The Member engages in any conduct described in any item of Article 11; or
(4) The Company otherwise determines that continued use of the Service or continuation of the Member’s registration is inappropriate.
Article 14 (Withdrawal from Membership)
A Member may withdraw from the Service at any time in accordance with the method prescribed by the Company. Coins, Exchange Tickets, and VIP Points held by the Member at the time of withdrawal shall be handled in accordance with the method prescribed by the Company and, in principle, shall not be refunded.
Article 15 (Disclaimer of Warranties and Limitation of Liability)
1. The Company makes no representation or warranty, express or implied, that the Service, including Gacha drawings and shipment of Prizes, will be suitable for any particular purpose of a Member, have any particular functionality or commercial value expected by the Member, or otherwise be useful to the Member.
2. The Company shall not be liable for any damage incurred by a Member due to system interruptions caused by failures of communication lines, computers, or other equipment; delays in shipment or shortages of Prizes caused by circumstances attributable to a Tenant; or any other event beyond the Company’s reasonable control.
3. The provisions of the preceding two paragraphs shall not apply where the Company has acted intentionally or with gross negligence.
Article 16 (Damages)
If the Company causes damage to a Member through a breach of these Terms, the Company shall be liable, only where the Company has acted intentionally or negligently, for direct and actual damages that would ordinarily arise from such breach, up to an amount equal to the total amount paid by the Member to the Company for the purchase of Coins during the immediately preceding one-year period; provided, however, that such limitation shall not apply in cases of the Company’s willful misconduct or gross negligence.
Article 17 (Handling of Personal Information)
The Company shall appropriately handle Members’ personal information in accordance with the separately established Privacy Policy.
Article 18 (Exclusion of Anti-Social Forces)
Each Member represents and warrants that they are not, and will not in the future become, a member of any anti-social force, including an organized crime group, a member of an organized crime group, an entity affiliated with an organized crime group, a corporate racketeer, or any other person or organization equivalent thereto.
Article 19 (Amendments to These Terms)
The Company may amend these Terms when it determines that such amendment is necessary, upon notifying Members of the amendment. Unless otherwise specified by the Company, the amended Terms shall become effective when they are posted on the Service.
Article 20 (Severability)
If any provision of these Terms is determined to be invalid or unenforceable under applicable laws or regulations, the remaining provisions of these Terms shall remain in full force and effect.
Article 21 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan. Any dispute arising between the Company and a Member in connection with the Service shall be subject to the exclusive jurisdiction of the Yokohama District Court as the court of first instance.
Article 22 (Language)
These Terms may be translated into languages other than Japanese for the convenience of Members. In the event of any inconsistency, discrepancy, or conflict between the Japanese version of these Terms and any translated version, the Japanese version shall prevail.
Supplementary Provision
These Terms shall become effective as of September 1, 2026.
